MarginForge Terms of Service & End User License Agreement

These Terms of Service and End User License Agreement ("Terms") govern the purchase, download, access and use of MarginForge digital products ("Products").

IMPORTANT: MarginForge products are business-use digital products. By purchasing, downloading, accessing, copying or using a Product, you agree to these Terms on behalf of yourself and, when applicable, the business entity for which you are acting.

1. Definitions

Product means the applicable MarginForge Microsoft Excel workbook, Buyer Guide, documentation and other digital files included with the version purchased.

Seller, Publisher, MarginForge, we, us or our means MarginForge, LLC.

Licensee means the single legal business entity associated with the purchase or, when an individual operates without a separate legal entity, that individual solely in connection with the applicable business.

Authorized User means an owner, officer, employee or authorized contractor of the Licensee who requires access solely to perform work for the Licensee.

Purchase Record means the ecommerce, marketplace or payment record associated with the purchase.

2. Acceptance and Authority

These Terms form an agreement between MarginForge and the Licensee.

If you purchase or use a Product for a company or other organization, you represent that you are authorized to accept these Terms on that organization's behalf.

You must be at least 18 years old and legally capable of entering into a binding agreement.

3. Business-Use Product

MarginForge Products are offered primarily for commercial, business, professional or entrepreneurial use.

They are not designed primarily for personal, family or household purposes.

4. Digital Delivery

Products are delivered electronically through Shopify, a marketplace, download service, email or another digital-delivery method.

No physical product is included unless expressly stated otherwise.

The purchaser is responsible for maintaining access to the email or account associated with the purchase and should maintain an appropriate backup of downloaded files.

5. License Grant

Subject to full payment and compliance with these Terms, MarginForge grants the Licensee a limited, non-exclusive, non-transferable and non-sublicensable license to use the purchased version of the Product for the Licensee's internal business operations.

The license may continue indefinitely for the purchased version while the Licensee remains in compliance with these Terms.

An ongoing license does not mean the purchase includes:

  • Lifetime support.
  • Lifetime updates.
  • Future Product versions.
  • Replacement downloads forever.
  • Future compatibility guarantees.
  • Other MarginForge Products.

6. Standard One-Business License

Unless MarginForge expressly issues a broader written license, a standard purchase covers one legal business entity.

The license does not automatically extend to:

  • Affiliates.
  • Parent companies.
  • Subsidiaries.
  • Sister companies.
  • Franchisees.
  • Consulting clients.
  • Portfolio companies.
  • Joint ventures.
  • Independently owned locations.
  • Other unrelated legal entities.

Broader use requires an appropriate written MarginForge license.

7. Authorized Internal Use

The Licensee may:

  • Use the Product for internal estimating, pricing, planning, job costing, profitability analysis and reporting.
  • Make reasonable working and backup copies for the licensed business.
  • Allow Authorized Users to access the Product as reasonably necessary for the licensed business.
  • Modify inputs, assumptions, labels, job types and internal working copies for internal business use.
  • Use calculated outputs in the licensed business's own customer quotes, proposals, budgets, reports and decisions, subject to the verification requirements in these Terms.

An outside accountant, bookkeeper, consultant or similar contractor may access the Product solely while performing services for the licensed business.

That person may not retain or reuse the Product for another client or business.

8. Prohibited Use and Distribution

Unless MarginForge provides written authorization or an expanded license, you may not:

  • Sell, resell, sublicense, rent, lease, donate or distribute the Product.
  • Send or provide the source Product to another unrelated business or person.
  • Make the Product available through public links, shared template libraries, file-sharing services, memberships, courses or social groups.
  • Use one purchase across multiple consulting clients or unrelated businesses.
  • White-label, rebrand or pass the Product off as your own product for resale or distribution.
  • Remove or intentionally defeat ownership, copyright, purchaser or license identifiers for redistribution.
  • Copy or adapt substantial portions of protectable MarginForge Product content for the purpose of creating or selling a competing template or digital product.
  • Use the Product to facilitate unlawful, fraudulent or deceptive conduct.

Nothing in these Terms claims exclusive ownership of general mathematical concepts, business ideas, facts or independently developed methods that are not protected intellectual property.

9. Ownership and Intellectual Property

MarginForge Products are licensed, not sold.

MarginForge, LLC retains its rights in protectable Product text, documentation, source files, graphics, branding, visual design, selection and arrangement and other original expression, subject to applicable law and third-party rights.

The purchase does not transfer ownership of MarginForge trademarks, copyrights, trade dress or other intellectual property.

10. License Verification

MarginForge may associate a Product with an order number, purchaser identifier, license number or other ownership information.

The standard Product does not contain undisclosed spyware or a hidden "phone home" mechanism.

MarginForge may request reasonable proof of purchase when providing:

  • Support.
  • Replacement downloads.
  • License assistance.
  • Update access.
  • Other purchaser benefits.

11. User Inputs and Verification

YOU ARE RESPONSIBLE FOR VERIFYING ALL INPUTS AND OUTPUTS BEFORE USING THEM IN A QUOTE, BID, PROPOSAL, CONTRACT, CUSTOMER COMMUNICATION OR BUSINESS DECISION.

MarginForge Products are business planning, estimating and decision-support tools.

Results depend on the information, assumptions and settings supplied by the user.

The Licensee is responsible for independently verifying, as applicable:

  • Wages and employee compensation.
  • Payroll burden and payroll taxes.
  • Workers' compensation.
  • Benefits.
  • PTO and productive-hour assumptions.
  • Materials.
  • Equipment.
  • Subcontractor expenses.
  • Permits.
  • Travel and disposal costs.
  • Overhead.
  • Tax rates and tax treatment.
  • Margin and markup assumptions.
  • Contingency and waste.
  • Customer prices.
  • Estimates, bids and proposals.
  • Contract terms.
  • Imported or manually entered information.
  • Applicability of the Product to the Licensee's business and jurisdiction.

The Licensee retains responsibility for every business decision made using or influenced by Product outputs.

12. No Professional Advice

MarginForge Products and related support do not constitute:

  • Accounting advice.
  • Bookkeeping advice.
  • Tax advice.
  • Payroll advice.
  • Legal advice.
  • Regulatory advice.
  • Engineering or architectural advice.
  • Construction advice.
  • Insurance advice.
  • Investment or financial advice.
  • Employment or human-resources advice.
  • Other professional advice.

MarginForge does not act as your accountant, lawyer, tax adviser, engineer, estimator of record, fiduciary, contractor, payroll provider or other licensed adviser.

Obtain appropriate professional advice when necessary.

13. No Guarantee of Results

MarginForge does not guarantee:

  • Revenue.
  • Profit.
  • Gross margin.
  • Contribution margin.
  • Bid success.
  • Close rate.
  • Customer acceptance.
  • Cost savings.
  • Pricing accuracy.
  • Business performance.
  • Any specific financial or operational result.

Examples, screenshots, demonstrations, sample data and scenarios are illustrative only.

14. Software Compatibility

MarginForge Excel-based Products are designed for Microsoft Excel in the format identified in the applicable Product documentation.

Compatibility with:

  • Google Sheets.
  • Apple Numbers.
  • LibreOffice.
  • Mobile spreadsheet applications.
  • Future Microsoft Excel versions.
  • Third-party add-ins.
  • Other applications.

is not guaranteed unless MarginForge expressly states otherwise.

The Licensee should maintain an untouched backup copy of the Product.

15. User Modifications

You may modify the Product for permitted internal use, but modifications are made at your own risk.

MarginForge does not guarantee the performance of user-modified:

  • Formulas.
  • Worksheets.
  • Automations.
  • Macros.
  • Tables.
  • Links.
  • Data structures.
  • Validation rules.
  • Integrations.
  • Protected functional areas.

Product documentation or support instructions may no longer apply after modification.

16. Product Support

Eligible MarginForge Products that expressly include complimentary Product support include 30 calendar days of support beginning on the original purchase date, subject to the separate 30-Day Product Support Policy.

Complimentary support is limited primarily to:

  • File access and opening.
  • Documented features.
  • Intended input locations.
  • Documented workflows.
  • Suspected defects in the unmodified Product.

It does not include business consulting, customized pricing advice, data entry, spreadsheet customization, accounting or tax advice, Excel training or Google Sheets conversion.

After the complimentary period expires, MarginForge has no continuing obligation to provide individual complimentary support.

17. Updates

Purchase does not include lifetime updates, lifetime support or all future versions.

MarginForge may provide corrections, patches, documentation updates, replacement files or upgrades in its discretion.

Material future versions may be sold separately.

18. Refunds

Because Products are digital and access is generally provided immediately, sales are final after access or download except:

  • As required by applicable law.
  • As required by controlling platform/payment rules.
  • As otherwise provided in the MarginForge Digital Product Refund Policy.

The Refund Policy is incorporated into these Terms.

19. Payment Reversals and Chargebacks

Nothing in these Terms limits lawful payment-dispute rights.

If MarginForge ultimately does not receive payment because of a chargeback, refund or reversal, the Product license terminates to the extent permitted by law unless the dispute is resolved in MarginForge's favor or MarginForge expressly authorizes continued use.

20. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MARGINFORGE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

To the maximum extent permitted by law, MarginForge disclaims warranties that may otherwise be implied concerning merchantability, fitness for a particular purpose, accuracy, completeness, compatibility, availability, error-free operation or results.

MarginForge does not warrant that a Product will:

  • Identify every business cost.
  • Prevent pricing mistakes.
  • Detect every incorrect input.
  • Ensure legal or tax compliance.
  • Produce a profitable price.
  • Produce a commercially successful business decision.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MARGINFORGE, LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PRODUCT OR THESE TERMS WILL NOT EXCEED THE AMOUNT ACTUALLY PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

To the maximum extent permitted by law, MarginForge and its owners, members, managers, employees, contractors, agents, affiliates, licensors and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of:

  • Profits.
  • Revenue.
  • Customers.
  • Contracts.
  • Bids.
  • Business opportunities.
  • Savings.
  • Data.
  • Goodwill.
  • Reputation.
  • Business continuity.

This includes alleged losses associated with pricing, estimating, labor calculations, taxes, overhead allocation, margins, customer quotes, proposals, contracts, purchasing, staffing or project performance.

Nothing in these Terms excludes or limits liability that applicable law does not permit to be excluded or limited.

22. Indemnification

To the maximum extent permitted by applicable law, the Licensee will indemnify and hold MarginForge and its related persons harmless from third-party claims to the extent arising from:

  • The Licensee's customer pricing, bids, proposals, contracts or business decisions.
  • Data or assumptions supplied by the Licensee.
  • Modification or misuse of the Product.
  • Violation of applicable law or third-party rights by the Licensee.
  • Unauthorized Product distribution by the Licensee or an Authorized User.
  • Material breach of these Terms.

This provision applies only to the extent enforceable under applicable law.

23. Unauthorized Distribution and Enforcement

Unauthorized Product copying or distribution constitutes a material breach of these Terms.

Subject to applicable law, MarginForge may:

  • Request removal or deletion.
  • Suspend support or update privileges.
  • Terminate the applicable license.
  • Submit marketplace or hosting complaints.
  • Submit copyright takedown notices where appropriate.
  • Seek injunctive relief.
  • Pursue other available legal or contractual remedies.

24. Termination

A Product license may terminate for a material breach that is not timely cured following written notice.

MarginForge may terminate immediately where permitted by law for intentional piracy, fraudulent acquisition, unauthorized resale or public distribution, or deliberate removal of ownership identifiers for redistribution.

Upon termination, operational use must stop and Product copies must be deleted except where retention is legally required.

25. Good-Faith Dispute Notice

Before filing a non-emergency lawsuit concerning these Terms, the party asserting the dispute should provide written notice describing the dispute and requested relief and allow 30 days for good-faith efforts to resolve it.

This does not prevent urgent requests for temporary or injunctive relief when reasonably necessary.

26. Governing Law and Venue

Except where mandatory law requires otherwise, these Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.

Subject to non-waivable forum rights, court proceedings concerning these Terms will be brought in state or federal courts located in Maricopa County, Arizona.

27. Compliance With Mandatory Law

Nothing in these Terms waives a right that applicable law does not permit a party to waive.

If a provision conflicts with mandatory law, it will be limited or modified only to the extent required, and the remainder of the Terms will continue to apply.

28. Assignment

The Licensee may not transfer the Product license to another business without MarginForge's prior written consent.

A business sale, acquisition or reorganization does not automatically expand a one-business license to unrelated entities or affiliates.

MarginForge may assign its rights in connection with a merger, reorganization, sale of relevant assets or transfer of the Product business.

29. Entire Agreement

These Terms, together with:

  • The applicable Product listing.
  • Refund Policy.
  • Support Policy.
  • Standard One-Business License.
  • IP & Anti-Redistribution Policy.
  • Any written expanded license issued by MarginForge.

constitute the applicable agreement concerning the Product.

Where an expressly issued expanded license conflicts with these standard Terms, the expanded license controls as to the expressly modified license scope.

30. Changes to Terms

The Terms in effect when a purchase is made generally govern that purchase unless the Licensee agrees to a later version or a change is otherwise legally effective.

MarginForge may update Terms prospectively for future purchases, future Products, future versions or optional services.

31. Severability and Waiver

If any provision is determined to be unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue in effect.

Failure to enforce a provision on one occasion does not waive that provision.

32. Electronic Communications

The purchaser agrees that transaction, support, license and legal communications may be delivered electronically to the email address associated with the purchase or later provided to MarginForge, to the extent permitted by law.
